.PRO TOP LEVEL DOMAIN TERMS AND CONDITIONS

Thank you for submitting one or more applications for a .pro second or third level (e.g., .law.pro, .cpa.pro, .med.pro) domain ("proTLD") name registration! Please read this agreement ("Agreement") carefully. Together with the Register.com Corporate Services Standard Terms and Conditions ("Register.com Services Agreement"), which is incorporated herein by reference, it governs your use of the proTLD services provided to you by Register.com, Inc. ("Register.com").

At this time, Register.com is taking applications for registration(s) and Defensive Registration(s) (as defined below) of domain names in the proTLD. Please note that because we expect that the proTLD will be popular, we cannot guarantee that you will actually be able to register a domain name for which you have submitted an application once registration in the proTLD commences.
  1. .pro Services.

    The following types of registrations within the proTLD are available to qualified persons and entities: basic domain name registrations in certain designated third levels (e.g., .law.pro, .cpa.pro, .med.pro), and ProBlock registrations, ProGuard registrations, and ProReserve registrations (ProBlock, ProGuard and ProReserve registrations shall be collectively referred to as, "Defensive Registrations").

    Basic domain name registrations are restricted to persons and entities (a) that self-certify that they meet the Eligibility Requirements (defined below) with respect to the professional field in which they are seeking the domain name registration ("Self-Certification") and (b) whose Self-Certifications are, prior to the domain name registration, verified and, following the domain name registration, re-verified at least annually ("Verification"; together with the Self-Certification, the "Certification Process"). ProBlock and ProGuard registrations are restricted to trademark or service mark holders with valid and enforceable trademark or service mark registrations of national effect that are issued prior to September 30, 2002. ProReserve registrations are restricted to persons and entities that complete the Self-Certifications. Domain name applicants that complete the Certification Process will be issued a professional digital certificate ("Digital Certificate Services"). You acknowledge and agree that Register.com and the Registry are not responsible for the accuracy of the databases used to complete the Verification and therefore neither Register.com nor the Registry shall have any liability with respect to the results of the Verification conducted on your behalf.

    Register.com is an accredited registrar for the proTLD. As such, Register.com is, upon accepting your application to register a .pro domain name registration or Defensive Registration, your sponsor for that application. No .pro application for services hereunder will be deemed fulfilled until (i) we have delivered the application information you provide us to the .pro registry operator (the "Registry"), and (ii) the Registry has placed into effect the .pro service that you requested. Register.com cannot guarantee that any .pro application will result in a .pro domain name registration or Defensive Registration.

  2. Fees.

    As consideration for the proTLD services that you request hereunder, you agree to pay Register.com the then-current fees set forth on the Register.com price schedule for such services. All fees are non-refundable, in whole or in part, even if your service is suspended, cancelled or transferred prior to the end of your then-current service term. You acknowledge that if, pursuant to the performance of the initial Certification Process Register.com determines that you do not meet the applicable proTLD Eligibility Requirements, Register.com shall be entitled to retain a processing fee in connection with the performance of the initial Verification. Registrer.com will not refund any portion of the fees paid if you successfully secure a .pro domain name registration but then fail to complete the annual Verification, in Register.com's discretion.

  3. Transfers.

    You further agree and acknowledge that you will be prohibited from transferring your .pro domain name registration to another registrar during the first sixty (60) days after you have registered such domain name, and in no event may such transfer occur until such date as the Registry begins accepting .pro domain name registrations ("Registry Live Date"). In addition, you acknowledge and agree that you will be prohibited from transferring you Defensive Registration to another registrar until the Registry Live Date.

  4. .pro Sunrise Period

    1. The "Sunrise" period offered from April 23, 2003 until June 1, 2003, or such other date as the Registry may designate as the last day "Sunrise" applications will be accepted (the "Sunrise Period"), allows registered trademark holders described below an opportunity to apply for ProBlock and ProGuard registrations before such mark(s) become available for public registrations. ProReserve registrations are not available during the Sunrise Period. The Sunrise Period allows holders of current (non-expired) trademarks and service marks having national effect (including, for example, European Community Trademarks ("CTMs") but excluding United States state registrations) issued prior to September 30, 2002, to apply for a ProBlock registration or ProGuard registration that is identical to the textual or word elements of such trademark or service mark, using ASCII characters only, and subject to the same character and formatting restrictions as apply to all domain name registrations in the proTLD. Where there is a space between the textual elements of a mark, applicants may elect at their discretion to use a hyphen or combine the elements together. Trademark or service mark registrations from the supplemental or equivalent registry of any country, or from individual states or provinces of a nation, will not be accepted.

    2. Applications for ProBlock registrations or ProGuard registrations under the Sunrise Period must include (i) the ASCII characters composing the trademark or service mark, (ii) the date the trademark or service mark was issued, (iii) the country in which the trademark or service mark was registered, and (iv) the trademark or service mark number. By submitting an application during the Sunrise Period, you represent and warrant that you are the holder of a current (non-expired) trademark or service mark having national effect that issued prior to September 30, 2002, and that the .pro domain name you have applied for is identical to the textual or word elements of such trademark or service mark, using ASCII characters only, and that all information you submit in connection with your application is complete and accurate.

    3. Defensive Registrations registered during and after the Sunrise Period will not resolve within the DNS, unless they are converted to basic domain name registrations after the Registry Live Date by completing the Certification Process for each such Defensive Registration.

    4. You acknowledge that the Registry and Register.com will have no liability of any kind for any loss or liability resulting from the proceedings and processes relating to the Sunrise Period including, without limitation: (i) the ability or inability of any registrant to obtain Defensive Registration during these periods, and (ii) the results of any dispute over a domain name registration or Defensive Registration applied for during the Sunrise Period.

  5. .pro Registration Requirements.

    1. You certify that the data provided in your domain name registration application or defensive registration application is true, correct, up to date and complete, and that you will keep such data up to date and complete at all times during the term of your registration.

    2. You represent and warrant that, at all times during the term of your proTLD registration or Defensive Registration, you meet the .pro registration requirements set forth by the Registry for the registration of the a domain name registration or Defensive Registration, located at http://www.registrypro.com/policies/eligibility.php, which may be amended from time to time by the Registry ("Eligibility Requirements");

    3. You agree to notify Register.com promptly of any change in circumstances that causes you to no longer meet the above requirements in Section 5.2;

    4. You represent and warrant that the registrant and qualification data and other data required for the issuance of a digital certificate that you are submitting is true and accurate;

    5. You agree in the case that a domain name is being registered in the name of an organization or other entity, the person acting on behalf of such organization or entity is authorized to do so;

    6. You represent and warrant that the domain name registration satisfies the digital certificate security requirements and any certificate practice statement required by the Registry from time to time (the "Certificate Requirements");

    7. You agree not to make any representation to any person or entity that expressly or impliedly conveys that the registration (or Defensive Registration) of your domain name in any way signifies or indicates that you possess any general or specific professional qualifications, including, but not limited to professional qualifications in a particular field;

    8. You agree and acknowledge that Register.com and/or RegistryPro shall have the right to immediately and without notice to you, suspend, cancel or modify a your registration or Defensive Registration if, at any time, you fail to meet the Eligibility Requirements for such registration or Defensive Registration, in Register.com's and/or the Registry's sole discretion.

  6. Data and Information.

    1. You acknowledge the terms set forth in the Information and Use section of the Register.com Services Agreement are applicable to any information you submit in connection with a proTLD application. Additionally, any information provided in connection with a proTLD application will be used by the Registry and its subcontractors for the purposes of (i) providing the Certification Process and Digital Certificate Services, including but not limited to conducting identity checks and professional eligibility checks with respect to you, (ii) populating the data fields of the Digital Certificate issued to you, (iii) conducting periodic spot checks of a your continuing eligibility to hold a proTLD domain name registration or Defensive Registration, (iv) conducting annual re-verification of a your continuing eligibility to hold a proTLD domain name registration or Defensive Registration; and (v) publishing certain information regarding you in the Registry's publicly-available WHOIS directory and in a publicly-available list of issued, revoked or suspended Digital Certificates. You also acknowledge that the Registry and its subcontractors may retain copies of all records and transaction logs emanating from the performance of the Verification Services, which records and logs may include personal data.

    2. You agree to the use, copying, distribution, publication, modification and other processing of your personal data by the Registry and its designees and agents in a manner consistent with the purposes specified in this Agreement.

    3. You hereby consent to any and all such disclosures and use of, and guidelines, limits and restrictions on disclosure or use of, information provided by you in connection with the registration of a .pro domain name (including any updates to such information), whether during or after the term of your registration of a .pro domain name or Defensive Registration. You hereby irrevocably waive any and all claims and causes of action you may have arising from such disclosure or use of information provided by you by Register.com.

  7. Additional Representations.

    You represent that, to the best of your knowledge and belief, neither the registration of the .pro domain name nor the manner in which it is directly or indirectly used infringes the legal rights of any third party. You represent that you have the authority to enter into this Agreement.

  8. Suspension, Cancellation, Transfer or Modification.

    You agree that your registration of a .pro domain name will be subject to suspension, cancellation, or transfer pursuant to any Registry adopted specification or policy, or pursuant to any registrar or registry procedure not inconsistent with a Registry adopted specification or policy (1) to correct mistakes by Register.com or the Registry in connection with a domain name registration, (2) for violations of this Agreement or the Register.com Services Agreement, or (3) for the resolution of disputes concerning the domain name.

  9. Third Party Beneficiary

    You acknowledge that the Registry is a third party beneficiary of this Agreement and the Register.com Services Agreement with the right to enforce those provisions of such Agreements that affect it. You also acknowledge that Register.com shall be solely responsible for providing you with services with respect to (a) your application for a .pro domain name registration and/or Defensive Registration and (b) in the event such application is accepted, for all ongoing services with respect to its such issued domain name registration and/or Defensive Registration. You further acknowledge that the Registry shall have no obligation to provide such services to you. You agree that you have no contractual relationship whatsoever with the Registry and that you are not a third party beneficiary of any agreement between the Registry and Registrar. You further agree that the Registry will have no legal, equitable or other liability of any kind to you.

  10. Incorporation of .pro Restrictions and Challenge Processes.

    1. By submitting an application to register a .pro domain name registration or Defensive Registration, you certify that you have read, understood and agree to be bound by all terms and conditions of the following documents, as they may be amended from time to time, which are hereby incorporated in and made an integral part of this Agreement:

      1. The Uniform Domain Name Dispute Resolution Policy, available at http://www.icann.org/dndr/udrp/policy.htm and;

      2. For registration agreements relating to ProBlock and ProGuard Defensive Registrations, The Intellectual Property Defensive Registration Challenge, available at http://www.registrypro.com/policies/disputes.php; and

      3. The Qualification Challenge Policy and Rules, as may be published by the Registry from time to time at www.registrypro.pro;

      4. The Eligibility Requirements; and

      5. For domain name registrations the Digital Certificate requirements as may be published by the Registry from time to time at www.registrypro.pro.

    2. For the adjudication of disputes concerning or arising from use of a .pro service, you agree to submit, without prejudice to other potentially applicable jurisdictions, to the jurisdiction of the federal and state courts (any appellate courts therefrom) of (1) your domicile, (2) the State of New York, and (3) the United States.

  11. Indemnification of the Registry.

    In addition to any indemnification set forth in the Register.com Services Agreement, you agree to indemnify, defend and hold harmless the Registry and its subsidiaries, affiliates, divisions, shareholders, directors, officers, employees, accountants, attorneys, insurers, agents, predecessors, successors and assigns, from any and all claims, demands, losses, costs, expenses, causes of action or other liabilities of any kind, whether known or unknown, in any way arising out of, relating to, or otherwise in connection with (i) your domain name registration and (ii) the Registry's performance of the Certification Process and the Digital Certificate Services. This indemnification shall survive any termination or expiration of this Agreement or the Register.com Services Agreement.
